R100077632Core Job SummaryThe Director, Contracting and Strategic
Sourcing is responsible for managing all phases of contract
development, including drafting and negotiating a broad range of
commercial contracts for University of Miami Health System
(UHealth), such as purchase, evaluation, consignment, services, and
numerous other agreements. This position also oversees the
drafting, negotiation, and signature of Business Associate
Agreements (BAAs), HITECH Addendums, and other HIPAA governed
agreements. Additionally, the role provides advice and counsel to
internal clients regarding contracting and privacy matters of
strategic importance and trains supply chain staff on contract
review and negotiation strategies.Core Responsibilities
- Drafts, analyzes, and negotiates a broad range of agreements
for the purchase of goods and services across the UM enterprise,
including consulting agreements, purchase agreements, evaluation
agreements, and service agreements.
- Conducts in-depth analysis of contract requirements, special
provisions, and terms to ensure compliance with appropriate laws
and regulations.
- Serves as an internal escalation point for any contract clause
that deviates from University policy.
- Advises and counsels internal clients across the enterprise and
conveys risk assessments to internal stakeholders.Department
Specific Functions
- Develops, maintains, and revises supply chain contract
templates and guidelines to ensure uniform practices throughout the
department.
- Reviews, updates, and maintains contract documentation in
accordance with University policies.
- Oversees maintenance of contract database and serves as point
person on legacy data cleanup efforts.
- Acts as UHealth Supply Chain's and Privacy's project lead and
subject matter expert for contract administration tools.
- Manages contract administration team, including attorneys and
contract specialists.
- Reviews and provides guidance to contracting staff on privacy
law issues in underlying agreements.
- Facilitates record production for external audits to assist
Compliance and General Counsel's Office.Core Qualifications
- J.D. from an ABA accredited law school.
- Certification in relevant specialty or field. Licensed to
practice law in Florida preferred.
- Minimum 5 years relevant experience.Knowledge, Skills, and
Attitudes:
- Strong negotiating skills and understanding of contract
provisions and risk allocation.
- Strong analytical and reasoning skills.
- Ability to multi-task and work effectively in a fast-paced
environment.
- Excellent written and verbal communication skills.
- Discreet and able to maintain confidentiality regarding
sensitive matters.
